Terms of service
Version 2026-10-28.b65ad529 ยท draft of 2026-10-28 · not yet in force
Details supplied by the owner
1. Parties and scope
1.1 These terms are between [LEGAL ENTITY: OPEN] ("we") and the person or organisation that creates an account or installs the plugin/app ("you"). OPEN: business customers only, or consumers too (affects withdrawal and renewal rules, verify). 1.2 They cover: the dashboard and API (the "control plane"), machine and human translation workflows, the loader and switcher scripts, the WordPress plugin, the Shopify app, and the hosting of published translation files ("bundles") on our storage and CDNs. Product name: [OPEN, placeholder "ResilientLang"]. 1.3 Related documents that form part of the agreement or are referred to: Privacy Policy, Data Processing Agreement, Sub-processor List, Acceptable Use Policy, Refund and Cancellation Policy, Outage Statement (all drafts in this folder). Order of precedence: OPEN.
2. The service in plain words
2.1 You give us your site's text; we extract it, translate it with engines you choose (or your own provider keys), let you edit and review it, sign the result and publish static files to your own site (via the plugin or snippet) and to CDNs.
2.2 Visitors' browsers then load those files through the loader. The delivery path does not call our control plane. What this does and does not guarantee is in OUTAGE_STATEMENT.md; it is a description of design and tests, not a service-level commitment unless section 12 says so.
2.3 Machine translation is automatic and imperfect. Review before relying on it for legal, medical, safety or price-critical text.
3. Accounts and security
3.1 One account belongs to an organisation ("tenant") with roles Owner, Admin, Editor, Viewer. You are responsible for everyone you invite.
3.2 Two-factor authentication is mandatory for Owner and Admin roles and for our operators (owner decision 8,;). Passwords: at least 15 characters. Sessions expire after 30 minutes idle or 8 hours.
3.3 Keep secret API keys (rl_sec_...) and licence keys confidential. They are shown once and stored only as hashes. Site keys (rl_site_...) are public by design. You must tell us promptly about suspected compromise; the breach plan is in BREACH_RESPONSE_PLAN.md.
3.4 Lost two-factor access is recovered by an operator after an identity check (owner decision 9). OPEN: what check, and your acknowledgement that recovery may take time.
4. Plans, trial and fees
4.1 Plans (US dollars; owner-approved proposal D31,; to be revisited after first customers): <!-- plans:generated:terms-annual-list begin -->Free; Solo $89/year (regular $127); Starter $149/year (regular $213); Growth $249/year (regular $356); Scale $399/year (regular $570); Agency $599/year (regular $856); Business from $899/year (custom)<!-- plans:generated:terms-annual-list end -->. Monthly billing is available at 13% of the annual price rounded up (<!-- plans:generated:terms-monthly-list begin -->Solo $12, Starter $19, Growth $32, Scale $52, Agency $78, Business $117<!-- plans:generated:terms-monthly-list end -->). Extra AI words <!-- plans:generated:word-pack-line begin -->$10 per 500,000<!-- plans:generated:word-pack-line end -->. Shopify plans billed monthly through Shopify: <!-- plans:generated:terms-shopify-list begin -->$12, $25, $49, $99<!-- plans:generated:terms-shopify-list end -->. Prices are not final until published; taxes: OPEN.
4.2 Each plan has a number of sites, target languages and a yearly AI-word allowance shared by the tenant's sites (). There are no per-word overage charges and no automatic upgrades: when the allowance is used up, new machine translation with our engines stops (HTTP 402) until the next window or a word pack. Using your own engine keys (BYO) is metered but not limited.
4.3 Monthly-billed licences receive one twelfth of the annual allowance per month; Shopify allowances reset per billing period; the Free allowance is per calendar year; word packs expire with the allowance window (owner decisions 3-4, defaults, not yet approved by the owner).
4.4 Trial: 14 days of Pro-like limits, no card; then Free unless you subscribe (owner decision 14, default).
4.5 Payments are processed by Stripe (website/WordPress licences) or Shopify Billing (Shopify app). We do not store card numbers. verify merchant-of-record, tax and invoicing responsibilities with the provider terms and counsel.
4.6 Renewal and cancellation: see REFUND_AND_CANCELLATION.md. Auto-renewal wording and notice: OPEN (verify local law).
5. What happens when a licence lapses (default owner decision 2; counsel to confirm)
5.1 After term end there is a 14-day grace period with everything working. After grace the account falls to Free limits, and publishing new work (translate, add language, publish, plugin updates) stops. Serving existing bundles, export and dashboard access never stop.
5.2 Already-published bundles continue to be served. Our CDN copies are kept for 12 months after lapse. OPEN: whether this 12-month period is a binding promise, a best-effort courtesy, or ends earlier if you breach these terms.
5.3 Security updates to the WordPress plugin may still reach lapsed (not revoked) sites (default SecurityUpdatesForLapsed).
6. Your content and your translations
6.1 You keep all rights in your source content and in the translations of it. You grant us a licence to host, process, copy, translate, sign and publish it to provide the service [scope of licence: OPEN].
6.2 Bundles are public. Anything in your source text that is translated and published is downloadable by anyone with the URL. Do not publish personal data, secrets or confidential text. Our PII scan before publish is planned (QA hook), not guaranteed.
6.3 Export: you can export all translations at any time in JSON, XLIFF 1.2/2.x, PO/POT, CSV or TMX (GET /v1/sites/{siteId}/export). Export is available after lapse and for an OPEN period after cancellation (PRIVACY.md proposes 30 days read-only then deletion within a further 30 days).
6.4 Translation memory sharing between customers is off by default; only reviewed or manual translations can be shared and only if both sides opt in. OPEN: whether sharing is offered at launch and what rights we take in contributed entries.
6.5 You are responsible for having the right to translate and publish your content, and for your own legal notices about the loader (cookie/local-storage information, privacy notice) on your site. We supply text to help [COOKIES_AND_LOCAL_STORAGE.md]; it is not legal advice.
7. Translation engines and your own provider keys
7.1 We send page text, language pair and glossary data (and a short context string for the LLM engine) to the engine providers in the sub-processor list; we do not send your keys, tenant ids, e-mails or IP addresses. 7.2 If you provide your own provider key, the provider relationship is yours; we transmit on your behalf and store the key encrypted OPEN: storage at rest is "not modelled" in the data layer (G6). 7.3 We may change engines or default models; quality and cost vary. No guarantee of accuracy, tone, glossary adherence or search ranking.
8. Platforms
8.1 The WordPress plugin is distributed in two builds: a free build without the update server, and a licensed build with the update server and Update URI. OPEN: plugin licence (GPL-compatible, verify) versus these service terms; WordPress.org guideline compliance verify.
8.2 The Shopify app is subject to Shopify's terms and billing; Shopify's mandatory privacy webhooks apply. OPEN: who is responsible for what between Shopify, merchant and us.
9. Acceptable use
ACCEPTABLE_USE_POLICY.md applies. We may suspend for breach (section 13).
10. Intellectual property and feedback
Our software, documentation and trade marks remain ours. The product name is a placeholder and not cleared OPEN (D27). Feedback licence: OPEN. Open-source components keep their own licences (dependency policy:).
11. Third parties and changes to sub-processors
See DPA and Sub-processor List. Our own subcontractors may change with notice (period OPEN, practice proposal 30 days).
12. Availability, support and the resilience statement
12.1 No uptime commitment is given for the control plane (dashboard, API, jobs) OPEN; a Business-plan SLA is mentioned in the pricing proposal but not defined.
12.2 The resilience design means that already-published translated pages should keep working in visitors' browsers if our control plane or one CDN is down. This is a design goal verified in an offline browser test; it is not a guarantee for every browser, theme, plugin or network. Limits are listed in OUTAGE_STATEMENT.md. OPEN (counsel): whether any of this may be written as a binding promise.
12.3 Support channel, hours and response targets: OPEN. Status page: planned, hosted away from the platform.
13. Suspension and termination
13.1 You can cancel at any time (refund policy: OPEN). Cancel-at-period-end keeps access until the period ends.
13.2 We may suspend an account or site for breach, legal request, security risk or non-payment beyond the grace period. Suspension is performed in the back-office with a recorded reason; suspension of a tenant or site is audited and visible to you. OPEN: notice before suspension, effect on already-published bundles (can we take them down? no takedown tool exists: WP-35 gaps), and an appeal path.
13.3 On termination: data return and deletion follow the DPA and RETENTION_SCHEDULE.md. Files you already copied to your own site remain yours; the plugin's local copy stays on your site unless you delete it (uninstall keeps uploaded translations unless the owner ticks delete:).
14. Warranties and liability
14.1 Disclaimers (as-is, no warranty of fitness, no warranty of translation accuracy, no warranty of uninterrupted service) and 14.2 limitation of liability (cap, exclusions, carve-outs for what cannot be limited): OPEN: counsel to draft; jurisdiction-dependent. 14.3 Your indemnity for content and use: OPEN.
15. Governing law, disputes, notices, changes
OPEN: governing law, venue, arbitration or courts, language of the agreement, how notices are given (e-mail to the account owner is the product's only channel), how changes are announced (draft assumption: notice by e-mail and in the dashboard banner, with a period OPEN).
